
Qualcomm Inks Up to $60B Amazon Chip Deal Tied to 25M-Share Warrant
Qualcomm has given an Amazon affiliate a 10-year warrant to buy as many as 25 million Qualcomm shares at $161.26 each, with vesting tied to commercial agreements, binding purchase orders and Amazon payments for Qualcomm server chips, technology, systems and manufacturing services. The first 3.75 million shares vested immediately against initial purchase commitments; later tranches can vest as qualifying payments rise toward a $60 billion ceiling. The warrant can be exercised cashlessly and expires in September 2036.
The structure gives Qualcomm something more valuable than a generic cloud partnership: a procurement-linked path into AWS data centers across multiple chip generations. The $60 billion figure is the top of the vesting schedule. Qualcomm disclosed initial binding purchase commitments but gave no value for them and disclosed no minimum purchase amount requiring Amazon to reach the full schedule.
For Qualcomm shareholders, the measurable ownership cost is much lighter than Amazon's most recent optical-supplier precedent. Amazon has used purchase-linked warrants before, and the economics vary dramatically by supplier. Applied Optoelectronics, or AAOI, granted Amazon a 10-year warrant in March 2025 for as many as 7.945 million shares, equal to 12% of AAOI's fully diluted share base if fully issued, with 1.324 million shares immediately vested and the rest tied to up to $4 billion of Amazon purchases. Qualcomm's 25 million-share maximum is only about 2.4% of the 1.057 billion shares it had outstanding at the end of June 2026, even though its qualifying-payment ceiling is fifteen times AAOI's.
The 2.4% figure measures gross warrant capacity; eventual dilution depends on exercise mechanics. Cashless exercise can produce materially fewer net shares, while cash exercise would bring Qualcomm exercise proceeds. The comparison does show bargaining power: Amazon is demanding customer equity again, but Qualcomm is conceding a much smaller slice of its existing equity base for a far larger potential procurement relationship than AAOI did.
Amazon has made supplier equity part of procurement before
AAOI has an earlier analogue in Plug Power. Plug Power has issued Amazon procurement-linked warrants since 2017, with vesting tied to purchases and later accounting through reductions in customer revenue. Amazon's repeated use of this structure makes the Qualcomm agreement a recognizable customer-acquisition and supplier-alignment instrument.
The AAOI precedent also exposes an accounting channel that can change Qualcomm's future reported economics. AAOI classifies its Amazon warrant as share-based consideration payable to a customer and recognizes the warrant's fair value as a reduction of Amazon revenue as the related goods and services transfer. Plug Power has likewise recorded Amazon warrant provisions as reductions of revenue. Qualcomm's accounting treatment remains undisclosed. The AAOI and Plug precedents show that warrant fair value can be recognized as customer consideration that reduces reported revenue as related sales occur.
That matters because a hyperscale design win can look larger in gross purchase commitments than in accounting revenue if customer consideration is netted against sales. It also means the eventual cost of the concession depends on warrant fair value and vesting, not simply on the number of shares authorized.
The concession is large enough to notice, but not large enough to erase the strategic win
Qualcomm's balance sheet gives it room to absorb gross share issuance if it chooses. The company repurchased 42 million shares for $6.8 billion during the first nine months of fiscal 2026, versus a maximum 25 million warrant shares. Buybacks consume cash; warrant exercise can be cashless or bring exercise proceeds. The share-count scale is still informative because the maximum warrant capacity sits inside the magnitude of Qualcomm's recent capital-return program.
The commercial value is more difficult to quantify but strategically clearer. Qualcomm had already expanded its data-center roadmap through the Alphawave acquisition, its Dragonwing server platform and a multi-generation CPU relationship with Meta. Amazon adds another hyperscale customer and extends the relationship into custom silicon and optical connectivity. For a company trying to diversify beyond handsets, a second major hyperscaler materially lowers the risk that the data-center strategy remains a product roadmap without customer pull.
Amazon is applying a repeat procurement structure in which Qualcomm appears to have surrendered substantially less equity, relative to its share base and potential qualifying spend, than AAOI did. That makes the AWS win look like a relatively efficient strategic concession by Amazon-warrant precedent. The cost will crystallize through the pace of vesting, net shares delivered on exercise and Qualcomm's accounting for customer consideration; those mechanics determine how much of the hyperscale validation becomes reported net revenue and how much becomes acquisition cost.
